TERMS OF SERVICE

STANDARD CONDITIONS OF CARRIAGE

Miilwaukee Courier Company Delivery LLC and operates by the shortened name of Milwaukee Courier Company

By the Conditions set out below by Milwaukee Courier Company and its servants and agents are not liable at all losses and damages:

1. Any business undertaken by Milwaukee Courier Company is carried out subject to the conditions set out here, each of which shall be deemed to be incorporated in and to be a condition of any agreement whether written, oral or implied between Milwaukee Courier Company and a customer. Milwaukee Courier Company shall not be bound by any agreement purporting to vary these conditions unless such agreement shall be in writing and signed on behalf of Milwaukee Courier Company; in the absence of any such written agreement to the contrary these conditions shall constitute the entire agreement between Milwaukee Courier Company and each of its customers void.

2. Milwaukee Courier Company is not common carrier and will only carry documents or goods subject to these conditions (which can only be altered in accordance with paragraph number 1 above). Milwaukee Courier Company reserves the right to refuse the carriage or transportation of any documents or goods for or from any person, firm or company and the carriage or transportation of any class of documents or goods at it’s absolute discretion.

3. Milwaukee Courier Company undertakes subject to payment in accordance with rates notified to the customer from time to time to carry the documents or goods between destination agreed between Milwaukee Courier Company and the customers. Milwaukee Courier Company reserves the right to carry the customer’s document or goods by any route and procedures and by successive carries and according to its handling, storage and transportation methods.

4. The packaging of the customer's documents or goods for transportation is the customer's responsibility including the placing of the documents or goods in any container suitable for bicycle or auto transportation. Milwaukee Courier Company accept no responsibility for all loss or damage to documents or goods under all circumstances. It is the sole responsibility of the customer to address adequately each consignment of documents or goods to enable effectiveness to be made. Milwaukee Courier Company shall not be liable for delay in forwarding or delivery resulting from the customers failure to comply with its obligations in this respect.

5. The customer is liable for all loss damages and expenses arising as a result of its failure to comply with its obligations under the agreements or as a result of negligence. The partners or investors of Milwaukee Courier Company will not be personally liable for any business debts incurred by Milwaukee Courier Company.

6. Milwaukee Courier Company will carry documents or goods which are the property of the customer and the customer warrants that it is authorized to accept and is accepting these conditions not only on behalf of itself but also as agents for and on behalf of all other persons, who are or may become interested in the documents or goods. The customer hereby undertakes to indemnify Milwaukee Courier Company against any damages, cost and expenses resulting from any breach of this warranty.

7. Any claim brought by a customers against Milwaukee Courier Company, in respect of duties and liabilities must be notified by the customers to an officer of Milwaukee Courier Companyin writing within 14 days of the day when the documents or goods should have reached their destination.

8. Milwaukee Courier Company will not carry (in addition to those items mentioned in paragraph number 2) Milwaukee Courier Company will not carry the following and holds the right to refuse any order they feel may in danger life's or is illegal: dangerous, hazardous, combustible or explosive materials, contraband items, negotiable securities of stock, and livestock. In the event that any customers should consign such items with Milwaukee Courier Company, the customers shall indemnity for all claims damages and expenses arising in connections with and Milwaukee Courier Company shall have the rights to deal with such items as it shall deem fit including the right to abandon carriage of the same immediately on upon Milwaukee Courier Company having knowledge that such items infringes this conditions. The right of inspection referred to in paragraph number 4 shall also apply for the purpose of this paragraph.

9. A cancellation fee of 50% of the scheduled rate will be levied if an order had been confirmed. Services that require prolonged processing and waiting time will be subjected to a surcharge of $.40 per minute wait time. In the event of consignee’s address is found to be incorrect, Milwaukee Courier Company will attempt to determine the correct address and complete the delivery as expeditiously as possible, but assume no responsibility for any inability to complete delivery under such circumstances.

10. Milwaukee Courier Company Delivery LLC maximum liabilities is $100.00 and rates are subject to change without prior notice.

The following conditions apply to all sales and warranties of Milwaukee Courier Company online orders.

1. Orders
All contracts of sale made by Milwaukee Courier Company shall be deemed to incorporate these terms and conditions, which shall prevail over any other terms from the party ('the Customer') with whom Milwaukee Courier Company is dealing. Cancellation of orders is not accepted as orders may be despatched on the same day the order is placed.

2. Prices
Goods and services, together with any Sales Tax, are charged at the price prevailing at time of order. Milwaukee Courier Company reserves the right to modify the prices from time to time.

3. Delivery
Milwaukee Courier Company makes every effort to despatch goods on time but does not accept liability for failure to deliver within the stated time. Milwaukee Courier Company does not accept liability for shortages or damage to deliveries unless the Customer notifies Milwaukee Courier Company in writing within fourteen working days of receipt. The Customer has to accept the goods when they are ready for delivery; delivery is deemed to take place when the goods are delivered to the Customer's nominated address, whereupon the risks of loss, breakage and all damage shall pass to the Customer. Title in the goods does not pass to the Customer until payment is received in full by Milwaukee Courier Company. See STANDARD CONDITIONS OF CARRIAGE above for more details.

4. Payment
Payment is due as agreed upon per each account.

5. Product specifications
Milwaukee Courier Company makes every effort to supply the goods as advertised but reserves the right to vary actual dimensions, specifications and quantities without prior notice. In the event that Milwaukee Courier cannot supply the goods ordered by the Customer, Milwaukee Courier Company reserves the right to supply goods of equal or superior quality at no extra cost.

6. Trade names and Trade Marks
Trade names and marks (other than Milwaukee Courier Company Delivery LLC 's) are not restricted to indications of manufacturers but may also be indicative of general use systems and machines associated with such products.

7. Returns of Logo Merchandise
Returns are only accepted with Milwaukee Courier Company prior written agreement, and goods must be unused, undamaged and fully marketable.

8. Milwaukee Courier Company's liability
Milwaukee Courier Company shall not under any circumstances be liable for any consequential or indirect damages or losses however caused. Milwaukee Courier Company's liability in respect of breach of the terms of any order shall be limited to the invoiced value of such order. Nothing in this agreement shall limit Milwaukee Courier Company's liability for death or personal injury caused by its negligence.

9. 'Force Majeure'
Milwaukee Courier Company shall not be responsible or liable for any loss, damage, detention or delay caused by or arising from acts, events, omissions, happenings or non happenings beyond its reasonable control including (but not limited to) governmental regulations, fire, flood or any disaster or industrial dispute affecting a third party.

10. General
If any provision in this agreement is held to be invalid or unenforceable, it shall be deemed severed from the agreement and this shall not affect the validity or enforce ability of the remaining provisions. any waiver of a breach of this agreement must be in writing. any variation of this agreement must be in writing to be valid. The headings are for convenience only and shall not affect the interpretation of this agreement. any notices given under this agreement shall be in writing and sent:
1. By pre-paid post to the last known address of the party or
2. By fax to their last known fax number.

The notice shall be deemed served:
1. Two working days after posting or
2. Upon receipt of a successful transmission report.

This agreement shall be governed by and construed in accordance with the laws of Wisconsin and the parties submit to the exclusive jurisdiction of the courts in Wisconsin.
